Regularising companies and titles frozen in time

This practice handles legal structures — commercial companies and property companies — whose legal, tax or banking existence is suspended because of a historical break in their governance, their accounts or the chain of their constitutive deeds. Our engagements cover companies inherited from the Protectorate period, entities arising from the Moroccanisation of the 1970s, and transfers of shares by succession that were never formally documented.

Reconstructing the Legal Chain & Retroactive Registration

Archive investigation, retroactive documentation of undocumented transfers, correction of clerical errors, updating of the Commercial Registry.

  • 01 Extensive investigation of notarial, judicial, Land Registry and Commercial Registry archives to establish the full chronology of deeds.
  • 02 Reconstruction and retroactive documentation of successive transfers of shares that were never formally instrumented.
  • 03 Correction of clerical errors and omissions in the constitutive deeds and successive articles of association.
  • 04 Handling of statutory filings with the Commercial Court and the consequent updating of the Registre du Commerce (RC).
  • 05 Documentary coordination and remote collection of signatures on behalf of rightful claimants residing abroad.

Accounting and Tax Catch-Up & Restoring Governance

Reconstruction of financial years, tax clearance with the DGI, establishing the vacancy of directors, redrafting the articles, unfreezing bank accounts.

  • 01 Reconstruction of omitted financial years and filing of the missing financial statements with the competent authorities.
  • 02 Clearance of latent tax liabilities and regularisation of filing obligations with the Direction Générale des Impôts (DGI).
  • 03 Establishing the vacancy or death of former directors and appointing valid company officers or provisional administrators.
  • 04 Comprehensive redrafting of the articles of association to bring them into line with current Moroccan company law (SA, SARL, SNC, SCS).
  • 05 Unfreezing dormant or blocked bank accounts and lifting protective measures or administrative freezes.
